📄 CloudKit Ltd – Terms of Service

1️⃣ Definitions

  • “Client” refers to the individual or organization purchasing services from CloudKit Ltd.

  • “Services” means managed IT services provided by CloudKit Ltd, including but not limited to monitoring, support, cybersecurity, cloud hosting, and hardware maintenance.

2️⃣ Scope of Services

CloudKit Ltd will provide IT services as detailed in the signed agreement, service-level agreements (SLAs), or proposal documents. Changes to the scope must be agreed upon in writing.

3️⃣ Responsibilities

  • CloudKit Ltd will deliver services with reasonable skill, care, and diligence.

  • The Client agrees to provide necessary access to infrastructure, systems, and personnel as required.

  • Both parties agree to maintain the confidentiality of proprietary information.

4️⃣ Service Availability & Support

Support is available during standard UK business hours unless otherwise agreed. Emergency services and 24/7 support may be offered at additional cost or as per the SLA.

5️⃣ Fees and Payment

  • Fees are payable monthly or annually as per the signed contract.

  • Invoices are due within 14 days unless otherwise specified.

  • CloudKit Ltd reserves the right to suspend services for non-payment.

6️⃣ Cancellations & Terminations

  • Monthly contracts require 30 days' written notice to terminate.

  • Annual contracts require 60 days' written notice before renewal.

  • Breach of contract may result in termination with immediate effect.

7️⃣ Limitations of Liability

  • CloudKit Ltd will not be liable for indirect or consequential loss.

  • Liability is limited to the value of the fees paid in the past 6 months.

  • No liability is accepted for third-party failures or force majeure events.

8️⃣ Data Protection

CloudKit Ltd will comply with UK GDPR and Data Protection Act 2018 in handling all personal data. A separate Data Processing Agreement (DPA) will be signed if required.

9️⃣ Intellectual Property

All software, documentation, and tools provided by CloudKit Ltd remain its intellectual property unless transferred by written agreement.

🔟 Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
